Services
We convert PowerPoint decks into SCORM packages per the tier you select in a signed quote. Scope, price and delivery date are fixed at quote acceptance. These terms apply to every engagement between LOST END FOUND LTD ("we", "us") and the client named on the quote ("you") unless we have signed a separate written agreement that overrides them.
Quotes and acceptance
Quotes are valid for 30 days from the date of issue. A quote becomes a binding order when you confirm acceptance in writing (email is sufficient). Once accepted, scope, price and delivery date are fixed; changes are handled through a written change order.
Revisions
One revision round is included per tier. Additional rounds are billed at £85 per hour.
Confidentiality
We treat every deck as confidential by default. NDAs on request at no extra cost.
Payment
Payment terms are net 14 days from invoice, unless otherwise agreed in writing. Late payments accrue interest at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998.
Intellectual property
You retain all rights in the source materials you provide. On full payment of the relevant invoice, we grant you a perpetual, worldwide, non-exclusive licence to use the SCORM packages we deliver for your internal training purposes and onward distribution within your organisation and its customers. We retain ownership of any underlying tools, templates, or know-how we use to produce the deliverables. We may reference our work for you in anonymised case studies; tell us before signing if you would prefer we did not.
Cancellation
You may cancel a confirmed order at any time. If you cancel before we have begun work, we will refund any deposit in full less reasonable administrative costs. If you cancel after work has started, you are liable for the proportion of the fee that reflects the work completed up to the point of cancellation.
Liability
Our total liability for any engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential loss, including loss of profit, revenue, data, or goodwill. Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.
Force majeure
Neither party is liable for any delay or failure to perform caused by an event beyond its reasonable control, including failure of public infrastructure, cyber-attack, government action, fire, flood, or epidemic. The affected party will notify the other promptly and use reasonable efforts to resume performance.
Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
Changes to these terms
We may update these terms from time to time. The version that applies to your engagement is the version in force on the date your quote is accepted; later changes do not apply retrospectively without your agreement.
